Welcome to Noema ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the Noema mobile application, website, and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

Noema is an AI-powered personalized learning platform that provides:

• AI-generated educational content and lessons
• Interactive quizzes and assessments
• Personalized learning recommendations
• AI tutor chat functionality
• Progress tracking and learning analytics

Our Service utilizes generative artificial intelligence technology to create customized learning experiences. While we strive for accuracy, AI-generated content may occasionally contain errors or inaccuracies.

You acknowledge and agree that:

• Content generated by our AI is for educational purposes only and should not be considered professional, medical, legal, or financial advice.
• AI-generated content may contain inaccuracies, errors, or outdated information. You should verify important information from authoritative sources.
• We do not guarantee the accuracy, completeness, or reliability of AI-generated content.
• The AI may occasionally produce unexpected or inappropriate outputs. We continuously work to improve content quality but cannot guarantee perfection.

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Maintain the security of your password and accept all risks of unauthorized access.
• Notify us immediately of any unauthorized use of your account.
• Be at least 13 years of age. Users under 18 require parental or guardian consent.

Noema offers various subscription tiers including Free, Pro, and Ultimate plans. By subscribing to a paid plan, you agree to the following:

• Billing: Subscriptions are billed on a recurring monthly basis. By subscribing, you authorize us to charge your payment method automatically each billing cycle.
• Price Changes: We reserve the right to adjust pricing. You will be notified of any price changes at least 30 days in advance.
• Automatic Renewal: Subscriptions automatically renew unless cancelled before the end of the current billing period.
• Cancellation: You may cancel your subscription at any time. Access to premium features will continue until the end of your current billing period.

You agree not to:

• Use the Service for any illegal or unauthorized purpose.
• Attempt to manipulate, exploit, or abuse the AI to generate harmful, misleading, or inappropriate content.
• Share, redistribute, or commercially exploit generated content without authorization.
• Attempt to reverse engineer, decompile, or access the Service's underlying technology.
• Interfere with or disrupt the Service or servers connected to the Service.
• Create multiple accounts to abuse free tier limitations or promotional offers.
• Use automated systems or software to extract data from the Service (scraping).

Our Content: The Service and its original content (excluding user-generated content), features, and functionality are owned by Noema and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Generated Content: Educational content generated through your use of the Service is provided for your personal, non-commercial use. You may use this content for your personal learning purposes but may not redistribute, sell, or commercially exploit it.

User Content: You retain ownership of any content you submit to the Service. By submitting content, you grant us a worldwide, non-exclusive license to use, process, and analyze such content to improve our Service.

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to the collection, processing, and use of your data as described in our Privacy Policy, including the use of your learning interactions to improve our AI models and personalize your experience.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NOEMA, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

We reserve the right to modify or replace these Terms at any time. We will provide reasonable notice of any material changes by posting the updated Terms on the Service and updating the "Last updated" date.

Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to delete your account.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Noema is incorporated, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless you opt out within 30 days of accepting these Terms.
